# Terms of service

These terms are between Axiplex LLC ("Tonoman", "we") and the organization that uses Tonoman Cloud ("you"). By signing in or using Tonoman Cloud you agree to them on your organization's behalf.

## The service

Tonoman Cloud runs AI agents for your organization: they work in your team's chat, with skills you choose, and keep their memory in a git repository you choose. It is managed in the Hub at cloud.tonoman.com.

The open-source runtime is separate: it is free, and it is licensed under the [Apache License 2.0](https://github.com/rodnavarro/tonoman/blob/main/LICENSE), not these terms.

## Your account

You are responsible for who you let into your organization and what they ask its agents to do. Keep sign-in links to yourself, and tell us at once if you think your account has been misused.

## Your AI subscription and connected services

Each agent answers on your own ChatGPT or Claude subscription, so you must follow that provider's terms. Each service you connect (a chat workspace, Google, YouTube and others) is used under its own terms, and you must have the right to connect it. If you use an agent to upload to YouTube, you agree to the [YouTube Terms of Service](https://www.youtube.com/t/terms) and the [Google Privacy Policy](https://policies.google.com/privacy).

## Your content

What you and your people send the agents, and what they make for you, is yours. You give us the right to store and process it only to provide Tonoman Cloud to you. How we handle it is in our [privacy policy](https://tonoman.com/privacy).

## What is not allowed

- Breaking the law, or helping someone else to.
- Sending spam, malware, or content that infringes someone else's rights.
- Trying to reach another organization's data, or to break, overload or get around the service's limits.
- Using an agent to impersonate a person or to deceive the people it talks to.

We may suspend an organization that does these, and will tell you why.

## Prices and payment

Prices are those on our [pricing page](https://tonoman.com/pricing). Paid plans and add-ons are billed monthly in advance through Stripe. You can cancel any time; what you have paid for keeps working to the end of the month paid. We tell owners by email before a price changes.

## Availability and changes

We work to keep Tonoman Cloud running and your data safe, but the service is provided "as is", without warranties of any kind, to the extent the law allows. We may change or stop a feature; if we stop the service, we give owners at least 30 days' notice and a way to export their data.

## Liability

To the extent the law allows, we are not liable for indirect or consequential losses, and our total liability for any claim is limited to what you paid us in the 12 months before it.

## Ending

You may stop using Tonoman Cloud and close your account at any time. We may end these terms if you break them; your data is then handled as our privacy policy says.

## Changes to these terms

When these terms change we update the date above, and for a change that matters we tell owners by email before it applies.
